Terms of Service

This is a general template covering the standard points a SaaS agreement needs. Have it reviewed by a lawyer familiar with Indian contract law and the DPDP Act before relying on it commercially.

1. Agreement to Terms

By creating an account or using Shukai ("the Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these terms.

2. What Shukai Does

Shukai provides AI-powered lead engagement tools — automated phone calls, WhatsApp messaging, and a website chat widget — to help businesses respond to and qualify leads. The Service is provided on a subscription basis with usage metered through a credit system.

We may suspend or terminate accounts that violate this section, with or without notice, particularly where continued use risks our ability to deliver the Service to other customers (e.g. WhatsApp or telecom provider penalties).

7. AI-Generated Content

Shukai uses third-party AI models to generate call scripts, chat replies, and message content on your behalf. You are responsible for reviewing your AI persona's configuration and knowledge base, and for ensuring the AI's communications on your behalf comply with applicable consumer protection and advertising laws. We do not guarantee the accuracy of AI-generated responses.

8. Third-Party Services

The Service integrates with third-party providers (including Exotel for calling, Meta for WhatsApp, Groq for AI inference, and Razorpay for payments). Your use of the Service is also subject to those providers' own terms, and we are not responsible for their availability, pricing changes, or policy enforcement.

9. Data & Privacy

Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms.

10. Service Availability

We aim for high availability but do not guarantee the Service will be uninterrupted or error-free. Scheduled maintenance and third-party outages (e.g. Exotel, Meta, Groq) may affect availability and are outside our direct control.

11. Limitation of Liability

To the maximum extent permitted by law, Shukai's total liability for any claim arising from your use of the Service is limited to the amount you paid us in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost revenue or lost leads.

12. Termination

We may suspend or terminate your access for breach of these Terms, non-payment, or misuse that exposes us or other customers to risk. You may terminate at any time by canceling your subscription.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice before they take effect.

14. Governing Law

These Terms are governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of the courts in the location of our registered office.
